Preamble: This agreement constitutes a legally binding electronic contract between Viva Rise Company (First Party) and the Independent Partner (Second Party). Clicking the 'I accept' button constitutes acknowledgment of complete reading and unconditional commitment to all its terms.

Article 1: Legal status and subordination

1. Independence: The Partner acknowledges being an 'independent partner' and not an employee or agent. No tax, social or salary obligation rests on the platform.

2. Capacity: The Partner declares to be at least 19 years old and to have full legal capacity to contract.

Article 2: Financial system and sustainability policy (Safety Valve)

1. Customer rule: The customer acknowledges that purchasing packs must serve actual consumption of the content or promotion to real customers. Buying ranks through accumulating fictitious accounts is prohibited.

2. Earnings cap (Max Out): The platform commits to paying commissions according to the announced rank scales. Any commission exceeding the weekly cap defined for each rank is automatically reset to zero (Flush Out) to guarantee the financial balance of the platform.

3. Pack ownership: The member acknowledges that the purchased packs remain the property of the company and that they have no right to dispose of them.

4. Technical errors: The platform reserves the right to correct any calculation error resulting from a software bug in the electronic wallet, and to recover any amount wrongly paid.

Article 3: Annual renewal and membership validity

1. Validity: The Partner's membership is valid for a period of 12 calendar months.

2. Renewal fees: Renewal fees must be paid before expiration to maintain the network position and the accumulation of points.

3. Grace period and termination: A 15-day grace period is granted. In case of non-renewal, the account is frozen 30 days after expiration. The platform reserves the right to permanently delete the account with loss of position, accumulated points and commissions.

Article 4: Sponsorship rules and network protection (Line of Sponsorship)

1. Sponsor stability: It is strictly forbidden to change sponsor after registration.

2. Transfer policy: If a change of sponsorship line is desired, the current account must be closed and remain completely inactive for 6 months before any new registration.

3. Cross recruiting: It is forbidden to incite members of other teams to join yours. Any violation results in immediate exclusion and loss of rights.

Article 5: Digital marketing policy and visual identity

1. Intellectual property: It is forbidden to register domains explicitly under the name 'Viva Rise', or to use the company name in search engine ads (Google Ads) to compete with the official platform. Any offender will face legal action.

2. Representation: Any page or channel must clearly appear as an 'independent partner page'.

3. Income disclaimer: Any guarantee of specific income is forbidden. Success depends on individual effort, and the results presented are indicative examples.

Article 6: Confidentiality, exclusivity and anti-defamation

1. Data confidentiality: Member lists and tree structure are trade secrets. Their disclosure or use to promote external activities is prohibited.

2. Anti-defamation: The member commits not to defame the company or its administration. Defamation leads to immediate account closure, loss of all financial rights, and the company reserves the right to take legal action against such persons.

3. Exclusivity: It is prohibited to promote other MLM companies or investment opportunities within the platform's working groups or official meetings.

Article 7: Refund policy and technical guarantee

1. No Refund: Due to the digital nature of the educational content, instantly consumable, there is no right to refund from the moment of account activation.

2. Technical guarantee: The platform guarantees access to the content. In case of a technical issue, a deadline of 7 working days is granted for repair. A temporary interruption does not constitute grounds for compensation.

Article 8: Inheritance and force majeure

1. Inheritance: The account is transferred to the legal heirs upon presentation of official documents and after administrative approval.

2. Force majeure: The platform disclaims any responsibility for the delay of commissions resulting from natural disasters, wars or global technical failures beyond its control.

Article 9: Right of unilateral modification

The platform reserves the right to modify these terms, pack prices or commission percentages at any time deemed necessary to ensure sustainability. Continued use of the account constitutes implied acceptance of the new modifications.

Article 10: Applicable law and dispute resolution

Disputes are resolved through the platform's 'Internal Compliance Committee' as a first step. If unsuccessful, recourse to justice will follow the laws in force.

Final acknowledgment:

I acknowledge having read and understood all 10 articles above, and I consent to them as a mandatory condition of my membership.
